Standard Terms & Conditions of Business
1. APPLICATION OF TERMS
1.1 These terms and conditions shall:
1.1.1 apply to all Assignments undertaken by the Photographer for the Client and to all Usage Licences or extended and/or additional Usage Licences relating to such Assignments; and
1.1.2 prevail over any inconsistent terms or conditions contained in any document supplied by the Client unless expressly agreed in writing by the Photographer.
2. DEFINITIONS
“Photographer” means Sophie Jordan Photographer.
“Assignment” means a commission by the Client for photographic services.
“Client” means the party commissioning the Photographer, including affiliates and successors.
“Estimate” means any quotation provided by the Photographer.
“Fee” means the Photographer’s fees as stated in the Estimate.
“Material” means all images created by the Photographer.
“Licensed Images” means the selected images supplied to the Client.
“Usage Licence” means the agreed permitted use of the Licensed Images.
“Working Day” means Monday to Friday excluding Bank Holidays in England and Wales.
3. ESTIMATES
3.1 Estimates are based on information supplied by the Client.
3.2 Any changes to the brief may result in additional fees.
3.3 Estimates specify usage, including media, duration, and territory.
3.4 Agreement of a shoot date constitutes acceptance of the Estimate and these Terms.
4. CONDUCT OF THE SHOOT
4.1 The Photographer will follow the agreed brief.
4.2 If the Client is not present, the Photographer’s interpretation shall be deemed acceptable.
5. WORKING HOURS
5.1 A half day is up to 4 hours.
5.2 A full day is up to 8 hours.
5.3 Additional time, early starts, late finishes, or extended coverage may incur additional fees depending on the nature of the Assignment.
6. CANCELLATION
6.1 Cancellation fees apply as follows:
- Less than 3 working days: 100% of Fee
- 3–6 working days: 75% of Fee
- More than 6 working days: 50% of Fee
6.2 All incurred expenses remain payable.
7. ACCEPTANCE & DELIVERY
7.1 Images will be delivered as soon as reasonably practicable.
7.2 Turnaround times are not guaranteed unless agreed in writing.
7.3 Photography is subjective. The Photographer retains full creative control.
7.4 The Client may not reject work based on style or aesthetic preference.
8. STORAGE & SHARING
8.1 The Client is responsible for storing images safely.
8.2 Images must not be stored, shared, or distributed to any third party (including PR agencies, magazines, press, publishers, or partners) without prior written permission from the Photographer unless explicitly permitted within the Usage Licence.
9. COPYRIGHT & USAGE
9.1 Copyright remains with the Photographer at all times.
9.2 Usage rights are granted only upon full payment.
9.3 Images may only be used as agreed in the Usage Licence.
9.4 Images must not be altered, edited, or cropped without permission.
10. ADDITIONAL USAGE
10.1 Any use beyond the agreed licence requires approval and may incur additional fees.
10.2 Unauthorised additional use will be chargeable.
11. EXCLUSIVITY
11.1 Usage licences are exclusive where agreed.
11.2 The Photographer may use images for self-promotion.
12. THIRD PARTY RIGHTS
12.1 The Client is responsible for obtaining permissions for locations, individuals, and third-party content.
13. CREDITS
13.1 A credit must be given wherever images are used, including websites, social media, press, editorial, and marketing, unless agreed otherwise in writing.
13.2 The required credit is:

13.3 The Client must ensure that any third party (including press or media outlets) also provides appropriate credit.
13.4 Failure to provide credit constitutes a breach of the licence.
14. PAYMENTS
14.1 Invoices are payable within 30 days. Purchase Orders need to be raised prior to the photography shoot commencing.
14.2 Usage rights are not granted until full payment is received.
14.3 Late payments may incur additional charges.
15. EXPENSES
15.1 Expense estimates may vary.
15.2 Additional costs caused by changes to the brief will be charged.
16. RETURN & DELETION
16.1 Upon expiry of the Usage Licence, images must be deleted unless otherwise agreed.
17. INDEMNITY
17.1 The Client shall indemnify the Photographer against claims arising from misuse or failure to obtain permissions.
18. LIABILITY
18.1 Liability is limited to the fees paid.
18.2 The Photographer is not liable for indirect losses.
19. CONFIDENTIALITY
19.1 Both parties agree to keep confidential information private.
20. TERMINATION
20.1 Either party may terminate if the other breaches these terms.
21. FORCE MAJEURE
21.1 The Photographer is not liable for delays caused by events beyond their control.
22. ARTIFICIAL INTELLIGENCE
22.1 Images may not be used for AI or machine learning without written permission.
22.2 This restriction applies to both the Client and any third parties.
23. USE BY THIRD PARTIES & PRESS
23.1 Images are licensed for the Client’s use only.
23.2 Images must not be shared with PR agencies, press, magazines, or any third party without prior written permission.
23.3 Approved press or editorial use may incur additional licence fees.
23.4 All approved use must include a credit to Sophie Jordan Photographer.
23.5 Unauthorised sharing or publication will be treated as a breach of licence and may result in additional fees.
24. UNAUTHORISED USE
24.1 Any use outside the agreed licence, including:
- use without payment
- use beyond agreed scope
- sharing with third parties
- press use without permission
- missing credit
will be treated as unauthorised use.
24.2 The Photographer reserves the right to charge additional fees for such use.
25. GENERAL
25.1 These terms are governed by the laws of England and Wales.
25.2 Any disputes shall be subject to the jurisdiction of the courts of England and Wales.
